Terms of Service

1. Acceptance of Terms

By accessing or using CELaunch™ ("the Service"), operated by CELaunch LLC, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

CELaunch™ is a software platform that allows organizations to upload content and generate continuing education (CE) courses, distribute those courses to learners, and issue certificates of completion. Features include AI-assisted course structuring, voice-over narration, quiz generation, and learner tracking.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@chaosmap.com of any unauthorized use of your account. CELaunch™ reserves the right to suspend or terminate accounts that violate these terms.

4. Your Content

You retain ownership of any content you upload to the Service ("Your Content"). By uploading content, you grant CELaunch™ a limited license to process, store, and display that content solely for the purpose of providing the Service. You are solely responsible for ensuring your content does not infringe any third-party rights and complies with applicable laws.

5. Acceptable Use

You agree not to:

• Upload content that is unlawful, harmful, or infringes third-party rights
• Use the Service to distribute spam or unsolicited communications
• Attempt to reverse engineer, copy, or resell the Service
• Use the Service to generate or distribute misleading or fraudulent CE certificates
• Interfere with or disrupt the integrity or performance of the Service

6. Payment and Plans

Subscription fees are invoiced annually and must be paid in accordance with your agreed plan. CELaunch™ reserves the right to suspend access to the Service for accounts with overdue payments. Prices and plan features may change with 30 days written notice.

7. Intellectual Property

CELaunch™ and its licensors retain all rights to the Service, including its software, design, and generated course structure (excluding Your Content). Nothing in these terms transfers any intellectual property rights to you beyond the limited license to use the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. CELaunch™ does not warrant that the Service will be uninterrupted, error-free, or that generated course content will satisfy any specific accreditation requirements. You are responsible for verifying compliance with your industry's CE standards.

9. Limitation of Liability

To the fullest extent permitted by law, CELaunch LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of data, revenue, or business opportunities. Our total liability shall not exceed the amounts paid by you in the 12 months prior to the claim.

10. Termination

Either party may terminate the agreement with 30 days written notice. CELaunch™ may terminate immediately for material breach of these terms. Upon termination, you may request an export of your content for up to 30 days.

11. Governing Law

These terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Los Angeles County, California.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or prominent notice within the Service. Continued use after the effective date constitutes acceptance of the updated terms.
